Terms & Conditions

Definitions
References to “Anategy” in this document mean Anategy Limited.
“The Client” means any person or company to whom Anategy shall supply, or contract to supply goods and services, referred to as “The Material”.
“The Material” means all publications, including but not limited to Research Reports, Competitor Analysis, Continuous Advisory Services, Consultancy and other material supplied by Anategy to the Client.

Effective Conditions
These Terms and Conditions shall apply to every contract for the sale of The Material by Anategy in preference to any Terms and Conditions upon which The Client may trade whether or not Anategy shall have received notice thereof. The placing of an order shall be deemed to constitute an unqualified acceptance of these terms.
These Terms and Conditions also apply for free trials of The Material.

Prices and Payment
Unless otherwise stated, all prices are in Pounds (£) sterling and exclusive of VAT.
Payment for work shall be made within 14 days from the date of invoice unless otherwise specifically agreed in writing.
The Client waives any right to set off counterclaims against the fees.

Delivery
Whilst delivery and completion dates are given in good faith, such dates are not guaranteed and Anategy accepts no liability for delay in delivery or completion, however caused. Anategy shall not be liable for any damage or loss suffered as a result of any delay in delivery.

Cancellation
Cancellation of The Material contracts once a contract has been signed and commenced will not give right to any form of reimbursement or non-payment of outstanding dues except in the event of special contributing circumstances and at the sole discretion of Anategy.

Returned Goods
The Material sold will not returnable unless such a return is expressly authorised in writing by Anategy and in the event of such consent being given, Anategy may apply a reasonable handling charge in respect of The Material returned.

Intellectual Property
The Material will be proprietary to Anategy and the copyright and all other intellectual property rights of whatever nature therein shall belong to and remain with Anategy. Anategy may use all or part of the reports or material to be supplied for contracts with other clients of Anategy.

Copyright
All Anategy publications are copyright. No part of The Material may be reproduced, stored in a retrieval system or transmitted in any form by any means, electronic, mechanical, photocopying, recording or otherwise, without the prior permission of the publisher, Anategy.

Confidentiality
The Client acknowledges that the contents of The Material are confidential and may not be reproduced or duplicated in any way or distributed to any person who is not a full-time employee of The Client and under an express duty of confidentiality to The Client. The Client agrees to take all reasonable measures to safeguard the confidentiality of The Material.
Unless The Client specifically requests to remain anonymous, no attempt will be made to keep his participation confidential. However, subject to the written request of The Client, Anategy will hold confidential all information concerning The Client and his participation that is not already in the public domain.

Data Protection
Anategy and The Client undertake to comply with all relevant data protection legislation as may be in force from time to time.

License
The Client has the right:
· to consult The Material an unlimited number of times during an unlimited period of time;
· to print a restricted number of paper copies of The Material carried out for the exclusive purpose of facilitating the reading and intellectual use of The Material internally. All documents issuing from the electronic version must retain the signature of the author and the mention Copyright Anategy, All Rights Reserved.
The Client may in no case:
· make commercial use of data contained in The Material;
· grant a sub-licence or transfer the original licence to a third party;
· disseminate by any means whatsoever The Material or the result of The Material among a large number of recipients, for internal or external use, without prior written permission by the author;
· modify in any manner whatsoever the content of data available on the electronic version.

Acknowledgements
Anategy recognises that certain terms appearing in its reports are proprietary; all such trademarks are acknowledged. The presence of a term, in whatever form, does not affect its legal status as a trademark.

Disclaimer
The information contained in The Material available from Anategy has been compiled with reasonable skill and care but includes projections, predictions and opinions and it does not address any particular circumstances or requirements. The information contained in The Material is obtained from sources believed to be reliable. Anategy disclaims all warranties as to the accuracy, completeness, correctness or adequacy of such information. Anategy, its directors or employees shall not be under any liability for loss or damage (including consequential loss) whatsoever or howsoever arising as a result of the use of The Material by the customer, his servants, agents or any third party. The Client assumes sole responsibility for the selection of The Material to achieve its intended results. Anategy will not be liable for any loss arising out of anategy.com being unavailable for any reason. The content and opinions expressed in The Material are subject to change without notice. In these respects, The Client must not place any reliance on any information provided by Anategy for any purpose.
Anategy has taken all reasonable steps to ensure the reports are free from infection from viruses or other items of a destructive or contaminating nature but it is the duty of The Client to scan the reports for viruses.

Assignment
The Client shall not, without the written consent of Anategy, assign or transfer or purport to transfer this contract or the benefit thereof to any person whatsoever.

Enforceability of Conditions
Each condition hereof is to be construed as an individual and separate condition and the invalidity of any one or more conditions shall not affect the validity or enforceability of the remainder.

Legal Construction
These terms and conditions shall be subject to and construed in accordance with the laws of England and The Client irrevocably submits to the non-exclusive jurisdiction of the English courts.
